Agreement to Our Legal Terms

We are StatHawk ("Company," "we," "us," or "our"). We operate the mobile application StatHawk (the "App"), the website stathawkapp.com (the "Site"), and any other related products and services that refer or link to these legal terms (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right to make changes to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

1. Age Requirement

The Services are intended for use by adults aged 18 and older. By creating an account, you represent and warrant that you are at least 18 years of age. If we learn that an account has been created by someone under the age of 18, we will terminate that account.

The Services allow adult users (coaches, parents, and guardians) to enter information about minor athletes, including first names, jersey numbers, and game statistics. This information is entered by and on behalf of authorized adults and is not collected directly from children. See our Privacy Policy for more details.

2. Our Services

StatHawk is a mobile application designed for youth and high-school flag football stat tracking. The Services allow coaches and parents to manage teams, track player statistics during games, generate game summaries and insights, and share results.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

3. Intellectual Property Rights

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use.

Except as set out in this section, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

4. User Representations

By using the Services, you represent and warrant that:

  1. You have the legal capacity and you agree to comply with these Legal Terms;
  2. You are at least 18 years of age;
  3. You will not access the Services through automated or non-human means, whether through a bot, script, or otherwise;
  4. You will not use the Services for any illegal or unauthorized purpose;
  5. You have the authority to enter information about any minor athletes whose data you input into the Services; and
  6. Your use of the Services will not violate any applicable law or regulation.

5. User Accounts

You may be required to register for an account to access certain features of the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

You are responsible for maintaining the accuracy of the information you provide in your account, including your team rosters and player data. You agree that all information you provide is accurate, current, and complete.

6. User-Generated Content

The Services may allow you to create, submit, or display content such as team names, player names, game statistics, and other data ("User Content"). You retain ownership of your User Content. By submitting User Content to the Services, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Services.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights and permissions to use and authorize us to use your User Content as described in these Legal Terms.

7. Paid Features and In-App Purchases

Certain features of the Services may be offered as paid subscriptions or one-time in-app purchases ("Premium Features"). If you choose to purchase Premium Features:

  1. You agree to pay all applicable fees as described at the time of purchase;
  2. Payments will be processed through Apple's App Store payment system and are subject to Apple's terms and conditions;
  3. Subscription fees will be billed in advance on a recurring basis according to the billing cycle selected at the time of purchase;
  4. You may cancel your subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period; and
  5. Refunds are handled in accordance with Apple's refund policies.

We reserve the right to modify pricing for Premium Features at any time. Any price changes will take effect at the start of the next billing period following the date of the price change.

8. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

  1. Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory;
  2. Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information;
  3. Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services;
  4. Attempt to impersonate another user or person or use the username of another user;
  5. Use any information obtained from the Services to harass, abuse, or harm another person, including minor athletes whose information is stored in the Services;
  6. Use the Services as part of any effort to compete with us or otherwise use the Services for any revenue-generating endeavor or commercial enterprise; or
  7. Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.

9. Third-Party Services

The Services may integrate with or rely on third-party services, including cloud hosting, authentication, and AI services. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such third-party services is at your own risk and subject to the terms and conditions of those services.

10. Services Management

We reserve the right, but not the obligation, to: (a) monitor the Services for violations of these Legal Terms; (b) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms; (c) refuse, restrict access to, limit the availability of, or disable any of your contributions or any portion thereof; and (d) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

11. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Legal Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may do so through the account deletion feature within the App, or by contacting us at the email address provided below.

All provisions of these Legal Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Services without notice at any time.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.

13. Governing Law

These Legal Terms are governed by and interpreted in accordance with the laws of the United States and the Commonwealth of Kentucky, without regard to conflict of law principles. Any legal action or proceeding arising under these Legal Terms will be brought exclusively in the courts located in Kentucky, and you consent to personal jurisdiction and venue in such courts.

14. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

StatHawk is a statistical tracking tool and does not guarantee the accuracy of any statistics, scores, or other data generated through use of the Services. Statistics are computed from user-entered play data and may not reflect official game records.

15. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (a) your use of the Services; (b) breach of these Legal Terms; (c) any breach of your representations and warranties set forth in these Legal Terms; or (d) your violation of the rights of a third party.
